Terms of Service

1. The service

Broker Factory ("we", "the service") is software operated by Broker Factory that helps real estate brokers handle WhatsApp conversations: it reads messages the broker connects, matches requests to the broker's own stock, and prepares replies, offers and follow-ups. By creating an account you ("the broker") accept these terms.

2. Your account and test mode

A new workspace starts in test mode: it reads and prepares drafts but sends nothing. Working mode, in which approved messages are sent, is switched on by you. You are responsible for the content of messages you approve and for the people you message, including having a lawful basis to contact them and honouring opt-out requests. Messages to clients include an opt-out line that cannot be removed.

3. WhatsApp and third-party services

You may connect your WhatsApp number as a linked device or through the official WhatsApp Business Platform. Using a linked device is not an official Meta integration: WhatsApp may restrict or log out a number at its discretion, and you accept this risk. The service sends at a human pace and does not support bulk messaging. CRM systems, Google Sheets and AI providers (Anthropic, OpenAI) are connected with your own credentials and are governed by their own terms. AI usage is billed to you directly by the provider you choose.

4. Trial, subscription and payment

After sign-up you get a free trial for the period shown on the pricing page. The subscription is prepaid for the selected period (for example 1, 3 or 12 months) and paid through Ziina. There are no automatic charges: each payment extends access from the current end date, and we remind you by e-mail before the end. Three days after the paid period ends the workspace switches to test mode; your data is kept.

Prices are shown in UAE dirhams and may change for future periods; a period you have already paid is not affected. Payments are non-refundable except where required by law or where the service was unavailable for a significant part of the paid period; in that case contact us within 14 days of payment.

5. Acceptable use

You may not use the service for spam, unsolicited bulk messages, misleading offers, collecting other people's data without a lawful basis, or anything that breaks UAE law, RERA rules or WhatsApp's terms. We may suspend a workspace that does so.

6. Our intellectual property and confidentiality

Broker Factory, its software, interface, texts, workflows, prompts, matching and scoring logic and documentation belong to us. Your subscription gives you a personal, non-exclusive, non-transferable right to use the service for your own brokerage work while the subscription is active. You may not copy, reproduce or imitate the service or its interface; resell, sublicense or give others access to your workspace; decompile, reverse-engineer, scrape or try to extract source code, prompts or models; use the service or its output to build a competing product; or remove our notices. Access is per user: one login is for one person.

Anything about the service that is not public (features before release, the way it works, prices offered to you, our communications during a trial or pilot) is confidential: do not share it with third parties without our written consent. Feedback and suggestions you send us may be used to improve the service without any obligation to you.

If you breach this section, we may suspend or close your workspace without refund and claim the damages caused, in addition to any other remedy available under UAE law.

7. Your data

Your stock, contacts and conversations belong to you. We process them only to provide the service, as described in the Privacy Policy. You can request a copy of your data through support and delete your workspace at any time.

8. Availability and liability

We work to keep the service available but do not guarantee uninterrupted operation. The service prepares drafts; decisions to send, prices and property details remain your responsibility. To the extent permitted by law, our total liability is limited to the amount you paid for the service in the three months before the claim.

9. Changes and termination

We may update these terms; material changes are announced in the workspace or by e-mail at least 14 days in advance. You may stop using the service at any time. We may terminate an account that breaches these terms.

10. Law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Disputes are subject to the courts of Dubai.
